Terms of Service

1. Eligibility

You must be at least 18 years old and authorized to enter into these Terms. The Service is intended for licensed real estate professionals and their teams. You represent that the information you provide is accurate and that you will use the Service in compliance with applicable laws and professional obligations.

2. Account Registration

You may sign up using Google OAuth. You are responsible for maintaining the security of your account and for all activity under your account. Notify us promptly at support@magnole.com if you suspect unauthorized access.

3. The Service

Magnole provides tools to help real estate professionals manage transactions, including AI assistance, document workflows, email coordination, and optional Google Calendar synchronization. Maggie assists with tasks you direct but does not replace your professional judgment, brokerage policies, or legal obligations.

We may modify, suspend, or discontinue features of the Service at any time. We strive to provide reliable service but do not guarantee uninterrupted or error-free operation.

4. Google Integrations

If you connect Google services, your use is also subject to Google's terms and policies. By enabling Google sign-in or Calendar sync, you authorize Magnole to access the Google data necessary to provide the features you request. You may revoke access at any time through your Magnole account settings or your Google account permissions.

5. Acceptable Use

You agree not to:

• Use the Service for unlawful, fraudulent, or harmful purposes
• Upload or transmit content that infringes intellectual property or privacy rights
• Attempt to gain unauthorized access to systems, accounts, or data
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer or misuse the Service except as permitted by law

6. Your Content

You retain ownership of content you submit to the Service, including deal information, documents, and communications. You grant Magnole a limited license to host, process, and use that content solely to operate and improve the Service for you. You are responsible for ensuring you have the rights to submit content and that its use through the Service complies with applicable law.

7. AI-Generated Output

Maggie may generate drafts, summaries, reminders, and other outputs based on your inputs. You are solely responsible for reviewing, approving, and using any output before relying on it in a transaction or with clients. Magnole does not provide legal, tax, or brokerage advice.

8. Subscriptions and Payment

Certain features require a paid subscription. Fees, billing cycles, and cancellation terms are presented at checkout or in your account. Unless otherwise stated, subscriptions renew automatically until canceled. Refunds are handled according to the policy displayed at the time of purchase.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

10. Intellectual Property

Magnole and its licensors own the Service, including software, branding, and design. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as permitted here.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT RESULTS WILL BE ACCURATE OR RELIABLE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGNOLE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO MAGNOLE IN THE TWELVE MONTHS BEFORE THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Magnole from claims, damages, and expenses arising from your use of the Service, your content, or your violation of these Terms or applicable law.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, provisions that by their nature should survive will remain in effect.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, except where mandatory consumer protection laws apply in your jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
